West Africa Vocational Academies is recruiting on behalf of a reputable law firm based in Ikoyi, Lagos State, for the position of Commercial Lawyer. The role offers an opportunity to work within a Corporate & Commercial Practice team, advising clients on transactions, contracts, regulatory compliance, and corporate matters.
The Commercial Lawyer will be responsible for providing practical legal advice, managing commercial transactions, drafting and negotiating agreements, conducting due diligence, and helping clients manage legal and commercial risks.

Key Responsibilities
- Draft, review, negotiate, and advise on commercial agreements, including service, supply, partnership, shareholder, employment, and vendor agreements.
- Conduct legal due diligence for mergers, acquisitions, investments, financing, and corporate restructuring.
- Identify contractual and commercial risks and recommend practical mitigation measures.
- Provide advice on corporate governance, regulatory compliance, company secretarial matters, and commercial law.
- Advise clients on business structures, regulatory requirements, and operational legal risks.
- Represent the firm during client meetings, negotiations, and strategy sessions.
- Conduct legal research covering corporate, commercial, labour, intellectual property, and regulatory matters.
- Prepare legal opinions, memoranda, compliance reports, and advisory documents.
- Prepare incorporation documents, board and shareholder resolutions, statutory filings, and other corporate documentation.
- Support business registration, licensing, regulatory approvals, and post-incorporation compliance.
- Maintain accurate records of client instructions, agreements, and transaction documents.
- Provide updates to Partners and Senior Associates on assigned matters.
- Support billing and matter-management processes.
- Supervise interns, paralegals, and junior associates when required.
Requirements
- LL.B degree and BL qualification.
- 4–6 years of post-call experience in Commercial Law and Corporate Law.
- Proven experience drafting, reviewing, and negotiating complex commercial agreements.
- Strong knowledge of Nigerian corporate, commercial, and regulatory laws.
- Experience with legal due diligence, mergers and acquisitions, investments, and corporate transactions.
- Strong legal research, analytical, and problem-solving skills.
- Excellent written and verbal communication abilities.
- Ability to manage multiple transactions and meet deadlines.
- Strong commercial awareness, professionalism, integrity, and attention to detail.
